Resolution 1: Remuneration Report
4.1
Background
The Remuneration Report for the financial year ended 30 June 2023 is included in the Company’s
2023 Annual Report and sets out the Company’s remuneration arrangements for Key Management
Personnel (including Directors).
In accordance with subsection 250R(2) of the Corporations Act, the Company must put the
Remuneration Report to the vote of Shareholders. The Directors' Report contains the Remuneration
Report which sets out the remuneration policy for the Company and the remuneration arrangements
in place for the executive Directors, specified executives and non-executive Directors.
In accordance with subsection 250R(3) of the Corporations Act, this resolution is advisory only and
does not bind the Directors. If Resolution 1 is not passed, the Directors will not be required to alter
any of the arrangements in the Remuneration Report.
If the Company's Remuneration Report receives a 'no' vote of 25% or more (Strike) at two
consecutive annual general meetings, Shareholders will have the opportunity to remove the whole
Board, except the managing director (if any).
Where a resolution on the Remuneration Report receives a Strike at two consecutive annual general
meetings, the Company will be required to put to Shareholders at the second annual general meeting
a resolution on whether another meeting should be held (within 90 days) at which all Directors (other
than the managing director, if any) who were in office at the date of approval of the applicable
Directors' Report must stand for re-election.
Please note if the Remuneration Report receives a Strike at this Meeting and if a second Strike is
received at the subsequent annual general meeting, this may result in the re-election of the Board.
The Chairperson will allow reasonable opportunity for Shareholders to ask questions about or
comment on the Remuneration Report.
This resolution is an ordinary resolution.
The Chairperson intends to exercise all available proxies in favour of this resolution. If the
Chairperson is appointed as your proxy and you have not specified the way the Chairperson is to
vote on this resolution, by signing and returning the Proxy Form, you are considered to have provided
the Chairperson with an express authorisation for the Chairperson to vote the proxy in accordance
with the Chairperson's intention, even though the resolution is connected directly or indirectly with
the remuneration of a member of the Key Management Personnel.
5
Pure Foods Tasmania values shareholder feedback and the Board and the Board Nomination and
Remuneration Committee will take the outcome of the vote into account when considering future
remuneration policies.
4.2
Voting exclusion
In accordance with sections 250BD and 250R of the Corporations Act, a vote on this Resolution
must not be cast (in any capacity) by or on behalf of either of the following persons:
(a)
a member of the Key Management Personnel details of whose remuneration are included
in the Remuneration Report; or
(b)
a Closely Related Party of such a member.
However, a vote may be cast by such person if the vote is not cast on behalf of a person who is
excluded from voting on this Resolution, and:
(a)
the person is appointed as a proxy by writing that specifies the way the proxy is to vote on
this Resolution; or
(b)
the voter is the Chair and the appointment of the Chair as proxy does not specify the way
the proxy is to vote on this Resolution, but expressly authorises the Chair to exercise the
proxy even if this Resolution is connected with the remuneration of a member of the Key
Management Personnel.
4.3
Directors’ Recommendation
The Board unanimously recommend that Shareholders vote FOR this resolution.
5
Resolution 2: Re-election of Kenneth Bruce Fleming as a Director
5.1
Background
Clause 7.2(b) of the Company’s Constitution and ASX Listing Rule 14.5 provides there must be an
election of Directors at each annual general meeting of the Company. No Director is currently
required to resign. Therefore, clause 7.2(b)(iv) provides that if no person or Director is standing for
election or re-election in accordance with the Constitution, any Director may retire and stand for reelection. Accordingly, Kenneth Fleming has offered to retire and stand for re-election.
Mr Fleming was appointed to the Board as the Non-Executive Director on 28 April 2020.
Set out below is background information in relation to the skills and experience of Mr Fleming.
Mr Fleming is an experienced Company Director having held roles over a diverse range of industry
backgrounds. Mr Fleming has extensive experience in capital markets and has held senior roles at
Deutsche Bank (including Director; Global Co-ordinator – Telecommunications Technology),
James Capel Australia and Tricom (Head of Research). He has also worked in the Australian
public service and at KPMG.
Mr Fleming is a Director of Castray Capital Pty Ltd and previously a director of Tasmanian Oyster
Company Ltd (previously Shellfish Culture Limited) and TasmaNet (ICT company). He holds an
honours degree in economics and post graduate qualifications in economics and finance and is
also a Fellow of the Financial Services Institute of Australasia (FFIN).
5.2
Directors’ Recommendation
The Board (with Kenneth Bruce Fleming abstaining), unanimously recommend that Shareholders
vote FOR this resolution.
6
6
Resolution 3: Adoption of Employee Securities Incentive Plan
6.1
General
The Company’s current Employee Securities Incentive Plan (2020 ESIP) was approved by
Shareholders at its annual general meeting on 30 January 2020. The Company notes that there
have been no changes to the 2020 ESIP since its approval.
Under Listing Rule 7.2 (exception 13(b)) for issues under an employee incentive scheme not to count
to count towards the 15% capacity to issue share capital in a 12 month period without shareholder
approval, shareholder approval of the employee incentive scheme is required:
(a)
every 3 years; or
(b)
if there is a material change to the terms of an approved employee incentive scheme.
As the 2020 ESIP was approved at its annual general meeting on 30 January 2020, shareholder
approval needs to be refreshed. The 2020 ESIP also requires updating to reflect the replacement of
ASIC Class Order [CO 14/1000] (Class Order) and ASIC Class Order [CO 14/1001] with a new
Division 1A in Part 7.12 of the Corporations Act in relation to employee share schemes, as amended
by the ASIC Corporations (Employee Share Schemes Instrument 2022/1021) (2023 ESIP Plan).
Resolution 3 seeks Shareholders' approval for the purposes of ASX Listing Rule 7.2, exception 13
to adopt the 2023 ESIP Plan.
Under the 2023 ESIP Plan, the Board may offer to eligible ESS participants the opportunity to
subscribe for such number of Securities in the Company as the Board may decide and on the terms
set out in the rules of the 2023 ESIP Plan, a summary of the key terms and conditions of which is in
Schedule 1. In addition, a copy of the 2023 ESIP Plan is available for review by shareholders at the
registered office of the Company until the date of the Meeting. A copy of the 2023 ESIP Plan can
also be sent to shareholders upon request to the Company Secretary. Shareholders are invited to
contact the Company if they have any queries or concerns.
Resolution 3 is an ordinary resolution.
6.2
Listing Rules 7.1 and 7.2, exception 13(b)
Listing Rule 7.1 provides that a company must not, subject to specified exceptions, issue or agree to
issue more Equity Securities during any 12 month period than that amount which represents 15% of
the number of fully paid ordinary securities on issue at the commencement of that 12 month period.
Listing Rule 7.2, exception 13(b) provides an exception to Listing Rule 7.1 such that issues of Equity
Securities under an employee incentive scheme are exempt for a period of 3 years from the date on
which shareholders approve the issue of Equity Securities under the scheme as an exception to
Listing Rule 7.1.
If Resolution 3 is passed, the Company will be able to issue Equity Securities under the 2023 ESIP
Plan to eligible participants over a period of 3 years without using the Company's 15% annual
placement capacity under Listing Rule 7.1. However, any future issues of Equity Securities under
the Plan to a related party or a person whose relation with the Company or the related party is, in
ASX's opinion, such that approval should be obtained will require additional Shareholder approval
under Listing Rule 10.14 at the relevant time.
If shareholder approval in accordance with Listing Rule 7.2, (Exception 13(b)) is not granted under
this Resolution 3, the shareholder approval of the 2020 ESIP at the 30 January 2020 annual general
meeting will remain in full force and effect. Accordingly, if shareholder approval under Item 3 is not
obtained:
7
(a)
grants under the 2023 ESIP Plan after 24 November 2023 or the 2020 ESIP on or after 30
January 2023 will count towards the 15% annual placement limit; and
(b)
grants under the 2020 ESIP before 30 January 2023 will not count towards the 15% annual
limit.
If Shareholder approval is not granted under this Resolution 3, the Board may need to consider
alternative remuneration arrangements which are consistent with the Company’s remuneration
principles, including providing an equivalent cash long term incentive subject to the risk of forfeiture,
performance conditions and performance period.
6.3
Specific information required by Listing Rule 7.2, exception 13
Pursuant to and in accordance with Listing Rule 7.2, exception 13, the following information is
provided in relation to the 2023 ESIP Plan:
(a)
the material terms of the 2023 ESIP Plan are summarised in Schedule 1 of this Explanatory
Memorandum;
(b)
471,684 securities have been issued to employees under the 2020 ESIP. As at 10 October
2023 no securities have been issued under the 2023 ESIP Plan;
(c)
the maximum number of Equity Securities proposed to be issued under the 2023 ESIP Plan
following approval shall not exceed 5% of the Company's Equity Securities on issue at the
annual general meeting, subject to adjustment in the event of an alteration in capital and
further subject to the applicable rules and regulations of all regulatory authorities to which the
Company is subject, including ASX; and
(d)
Based on the number of Equity Securities on issue on 10 October 2023 (being 109,995,016),
5% equates to either 5,499,751 shares.
6.4
Voting exclusion
The Company will disregard any votes cast in favour of Resolution 3 by or on behalf of a person
who is eligible to participate in the 2023 ESIP Plan or an associate of that person or those persons.
However, this does not apply to a vote cast in favour of Resolution 3 by:
(a)
a person as proxy or attorney for a person who is entitled to vote on the resolution, in
accordance with directions given to the proxy or attorney to vote on the resolution in that
way; or
(b)
the Chair of the Meeting as proxy or attorney for a person who is entitled to vote on the
resolution, in accordance with a direction given to the Chair to vote on the resolution as the
Chair decides; or
(c)
a holder acting solely in a nominee, trustee or custodial or other fiduciary capacity on
behalf of a beneficiary provided the following conditions are met:
6.5
(i)
the beneficiary provides written confirmation to the holder that the beneficiary is
not excluded from voting, and is not an associate of a person excluded from
voting, on the resolution; and
(ii)
the holder votes on the resolution in accordance with directions given by the
beneficiary to the holder to vote in that way.
Directors’ Recommendation
The Board, unanimously recommend that Shareholders vote FOR the approval of the 2023
Employee Securities Incentive Plan.

Resolution 4
7.1
Background
Approval of 10% Placement Facility
Broadly speaking, and subject to a number of exceptions, ASX Listing Rule 7.1 limits the amount of
Equity Securities that a listed company can issue without the approval of its shareholders over any
12 month period to 15% of the fully paid ordinary securities it had on issue at the start of that period.
However, under Listing Rule 7.1A an eligible entity may seek shareholder approval by way of a
special resolution passed at its annual general meeting to increase this 15% limit by an extra 10% to
25% (10% Placement Facility). An ‘eligible entity’ means an entity which is not included in the
S&P/ASX 300 Index and which has a market capitalisation of $300 million or less. The Company is
an eligible entity for these purposes.
The 10% Placement Facility is in addition to the Company's 15% annual placement capacity under
Listing Rule 7.1.
Resolution 4 seeks Shareholder approval by way of a special resolution to provide the Company the
ability to issue Equity Securities under the 10% Placement Facility during the 10% Placement Period
(refer to Section 0(f) below). If resolution 4 is passed, the Company will be able to issue Equity
Securities up to the combined 25% limit in Listing Rules 7.1 and 7.1A without any further shareholder
approval. If resolution 4 is not passed, the Company will not be able to access the additional 10%
capacity to issue Equity Securities without shareholder provided for in Listing Rule 7.1A and will
remain subject to the 15% limit on issuing Equity Securities without shareholder approval set out in
Listing Rule 7.1.
The number of Equity Securities to be issued under the 10% Placement Facility will be determined
in accordance with the formula prescribed in Listing Rule 7.1A.2 as set out below:
(A x D) – E
Where:
A
is the number of Shares on issue 12 months before the date of agreement or issue:
(A)
plus the number of fully paid Shares issued in the 12 months under an exception in
Listing Rule 7.2 (other than under exception 9, 16, or 17 of Listing Rule 7.2);
(B)
plus the number of fully paid Shares issued in the relevant period on the
conversion of convertible securities within Listing Rule 7.2 exception 9 where:
•
•
(C)
plus the number of fully paid Shares issued in the relevant period under an
agreement to issue securities within rule 7.2 exception 16 where:
•
•
D
the convertible securities were issued or agreed to be issued before the
commencement of the relevant period; or
the issue of, or agreement to issue, the convertible securities was approved, or
taken under these rules to have been approved, under rule 7.1 or rule 7.4,
the agreement was entered into before the commencement of the relevant
period; or
the agreement or issue was approved, or taken under these rules to have
been approved, under Listing Rules 7.1 or 7.4.
(D)
plus the number of fully paid Shares issued in the 12 months with Shareholder
approval under Listing Rules 7.1 and 7.4. This does not include any issue of
Shares under the Company's 15% annual placement capacity without Shareholder
approval; and
(E)
plus the number of partly paid shares that became fully paid in
