Executive Chairman’s Report
Pure Foods Tasmania Limited ABN 13 112 682 158 | Annual Report for the Financial Year ending 30 June 2025 5
Executive Chairman’s Report
Overview
FY25 was a transformative year for Pure Foods Tasmania (PFT). The implementation of strategies to build a
leaner, more resilient and profitable business are beginning to take effect. We are shifting our focus from
volume-driven growth to strategic profitability, disciplined cost management, and value creation for
shareholders.
We remain committed to our longer-term strategy of continuing to refine our operations, building
sustainable profitability, and positioning the company for future growth.
Financial Performance
While reported revenue for FY25 was 7% lower than FY24 at $5.2m, this was the result of deliberate
decisions to exit low-margin and unprofitable sales. The result has been a change in the quality of our
earnings. Gross margin improved from just 1% in FY24 to approximately 16% in FY25, reflecting better
product and customer mix. The net loss (after tax) narrowed to $2.8m from the FY24 $3.9m; FY25 included
non-cash impairment of $300k and approximately $1m of one-off expenses, indicating noteworthy
progress in turnaround efforts.
Refinancing of borrowings to extend maturities and reduce near-term cash obligations alongside a
comprehensive recapitalisation and balance sheet restructuring significantly reduced current liabilities,
strengthened liquidity, and enhanced our financial flexibility to support future growth. Since the end of
FY25 conversion of $1.19m debt to equity and capital raising of $1.76m, with all shares subject to 12
months voluntary escrow, provides additional liquidity to support growth initiatives and unlock
opportunities.
Key strategies in 2025 include:
• Exiting unprofitable products
• Targeted price increases and cost savings in inputs and logistics
• Infrastructure review to support scalable growth
• Continued pursuit of strategic acquisitions to enhance economies of scale.

Pure Foods Tasmania Limited ABN 13 112 682 158 | Annual Report for the Financial Year ending 30 June 2025 6
Outlook for FY26
PFT anticipates improved revenue and operational performance, with a continued emphasis on
sustainability and cost alignment. While acquisition opportunities continue to be explored, the primary
focus remains on strengthening the core business.
Our People
During this demanding period of realignment PFT Directors Robert Knight and Ken Fleming took on
expanded roles to support sales and cost management across the business. Work in these areas is now
coming to fruition with the successful national ranging expansion of the Tasmanian Pate brand with Coles
Supermarkets. Based on current momentum, the expanded ranging is forecast to generate approximately
$500k - $600k in annualised sales from Coles.
On behalf of the Board, I commend our staff for their demonstrated resilience, flexibility and adaptability to
changing circumstances. Turning around a company is only possible if you have a great team of dedicated
people working together.
We are confident that FY25 has marked the beginning of a new chapter – one defined by growth,
profitability, and the creation of long-term shareholder value.

Remuneration Report
Remuneration Policy
The remuneration policy of the Group has been designed to align key management personnel (KMP)
objectives with shareholder and business objectives by providing a fixed remuneration component and
offering specific long-term incentives based on key performance areas affecting the Group’s financial
results. The Board of the Group believes the remuneration policy to be appropriate and effective in its
ability to attract and retain high quality KMP to run and manage the Group, as well as create goal
congruence between Directors, executives, and shareholders.
The Board’s policy for determining the nature and amount of remuneration for KMP of the Group is based
on the following:
• The remuneration policy is to be developed by the Board after professional advice is sought from
independent external consultants.
• All KMP receive a base salary (which is based on factors such as length of service and experience),
superannuation, fringe benefits, options, and performance incentives.
• Performance incentives are generally only paid once predetermined key performance indicators
(KPIs) have been met.
• Incentives paid in the form of options or rights are intended to align the interests of the Directors and
Group with those of the shareholders. In this regard, KMP are prohibited from limiting risk attached
to those instruments by use of derivatives or other means.
• The Board reviews KMP packages annually by reference to the Group’s performance, executive
performance, and comparable information from industry sectors.
The performance of KMP is measured against criteria agreed biannually with each executive and is based
predominantly on the forecast growth of the Group’s profits and shareholders’ value. All bonuses and
incentives must be linked to predetermined performance criteria. The Board may, however, exercise its
discretion in relation to approving incentives, bonuses, and options. Any change must be justified by
reference to measurable performance criteria. The policy is designed to attract the highest calibre of
executives and reward them for performance results leading to long-term growth in shareholder wealth.
KMP receive, at a minimum, a superannuation guarantee contribution required by the government, which,
during the 2025 financial year was 11.5% of the individual’s average weekly ordinary time earnings
(AWOTE). Some individuals, however, may choose to sacrifice part of their salary to increase payments
towards superannuation.
All remuneration paid to KMP is valued at the cost to the Group and expensed.
Remuneration Report
Pure Foods Tasmania Limited ABN 13 112 682 158 | Annual Report for the Financial Year ending 30 June 2024 12
Performance-based Remuneration
KPIs are set annually, with a certain level of consultation with KMP. The measures are specifically tailored to
the area each individual is involved in and has a level of control over. The KPIs target areas the Board
believes hold greater potential for Group expansion and profit, covering financial and non-financial as well
as short and long-term goals. The level set for each KPI is based on budgeted figures for the Group and
respective industry standards.
Performance Conditions Linked to Remuneration
The Group seeks to emphasise reward incentives for results and continued commitment to the Group
through the provision of various cash bonus reward schemes, specifically the incorporation of incentive
payments based on the achievement of revenue targets, return on equity ratios and continued
employment with the Group.

Events Subsequent to the End of the Financial Year
Since 30 June 2025, the Company has undertaken several significant initiatives to strengthen its financial
position, reduce debt, and support the next phase of its turnaround and growth strategy.
In July 2025, the Company completed a recapitalisation program totalling approximately $2.95m,
comprising:
• A $1.76m placement to sophisticated and professional investors at 2 cents per share, with 1-for-1
unquoted options exercisable at 5 cents and expiring two years from the date of issue; and
• The conversion of approximately $1.19m of shareholder loans into equity on the same terms.
These transactions have materially improved the Company’s balance sheet by reducing borrowings and
providing additional working capital to fund core growth initiatives and operational efficiency programs.
Operationally, the Company achieved a major commercial milestone with the national expansion of its
Tasmanian Pâté brand within Coles Supermarkets. Distribution increased from approximately 300
stores to around 700 stores nationally, with initial September orders more than ten times higher than the
average monthly orders under the previous ranging. The expansion is expected to deliver an annualised
sales uplift of approximately $500,000 – $600,000, representing a meaningful increase on FY25 sales
from this brand.
In addition, the Company has consolidated the Daly Potato Co. production facility into its existing
Mornington site, completing the relocation shortly after year end. This integration is expected to deliver
further annualised savings of approximately $200,000 – $300,000 through reduced overheads, simplified
logistics, and improved production efficiency.
Together, these post-balance-date developments mark an important next phase in the Company’s
turnaround. The recapitalisation and site consolidation have strengthened liquidity, reduced operating
costs, and streamlined the production footprint, while the Coles national expansion has positioned the
business for sustainable revenue growth and improved profitability in FY26.
