Remuneration Report
Remuneration Policy
The remuneration policy of the Group has been designed to align key management
personnel (KMP) objectives with shareholder and business objectives by providing a fixed
remuneration component and offering specific long-term incentives based on key
performance areas affecting the Group’s financial results. The Board of the Group believes
the remuneration policy to be appropriate and effective in its ability to attract and retain highquality KMP to run and manage the Group, as well as create goal congruence between
Directors, executives, and shareholders.
The Board’s policy for determining the nature and amount of remuneration for KMP of the
Group is based on the following:
•
•
•
•
•
The remuneration policy is to be developed by the Board after professional advice is
sought from independent external consultants.
All KMP receive a base salary (which is based on factors such as length of service and
experience), superannuation, fringe benefits, options, and performance incentives.
Performance incentives are generally only paid once predetermined key performance
indicators (KPIs) have been met.
Incentives paid in the form of options or rights are intended to align the interests of
the Directors and Group with those of the shareholders. In this regard, KMP are
prohibited from limiting risk attached to those instruments by use of derivatives or
other means.
The Board reviews KMP packages annually by reference to the Group’s performance,
executive performance, and comparable information from industry sectors.
The performance of KMP is measured against criteria agreed biannually with each executive
and is based predominantly on the forecast growth of the Group’s profits and shareholders’
value. All bonuses and incentives must be linked to predetermined performance criteria. The
Board may, however, exercise its discretion in relation to approving incentives, bonuses, and
options. Any change must be justified by reference to measurable performance criteria. The
policy is designed to attract the highest calibre of executives and reward them for
performance results leading to long-term growth in shareholder wealth.
KMP receive, at a minimum, a superannuation guarantee contribution required by the
government, which, during the 2025 financial year was 11.5% of the individual’s average
weekly ordinary time earnings (AWOTE). Some individuals, however, have chosen to sacrifice
part of their salary to increase payments towards superannuation.
All remuneration paid to KMP is valued at the cost to the Group and expensed.

ABN 13 112 682 158
Remuneration Report
Performance-based Remuneration
KPIs are set annually, with a certain level of consultation with KMP. The measures are
specifically tailored to the area each individual is involved in and has a level of control over.
The KPIs target areas the Board believes hold greater potential for Group expansion and
profit, covering financial and non-financial as well as short and long-term goals. The level set
for each KPI is based on budgeted figures for the Group and respective industry standards.
Performance Conditions Linked to Remuneration
The Group seeks to emphasise reward incentives for results and continued commitment to
the Group through the provision of various cash bonus reward schemes, specifically the
incorporation of incentive payments based on the achievement of revenue targets, return
on equity ratios and continued employment with the Group.
Employment Details of Members of Key Management Personnel
The term Key Management Personnel refers to those persons having the authority and
responsibility for planning, directing, and controlling activities of the Group, directly or
indirectly, and includes any Director of the Group (whether executive or otherwise).

Limited and its Controlled Entities. Pure Foods Tasmania is a company incorporated in
Australia, and whose shares are publicly traded on the Australian Securities Exchange (ASX).
(b) Going Concern
The financial statements of the Group have been prepared on the assumption that the Group
will continue as a going concern. For the financial year ended 30 June 2025, the Group
reported a net loss after tax of $2.8m (2024: $3.9m) and experienced net cash outflows from
operating activities amounting to $1.7m (2024: $2.1m). As of 30 June 2025, the Group held
cash and cash equivalents totalling $1.1m (2024: $1.1m) and had external borrowings of
$5.8m (2024: $4.4m).
In response to these financial challenges, the Group’s Directors have implemented several
strategic initiatives to enhance the Group’s financial stability and operational performance.
The ability of the Group to continue as a going concern is dependent on the unwavering
commitment to these initiatives. These include a disciplined approach to managing input cost
increases, implementing a range of cost reductions while also introducing other profitability
enhancement measures and/or obtaining additional funding from alternative sources should
it be required.
Key initiatives are summarised as follows:
•
•
•
•
On-going assessment of customer and product profitability with low or negative margin
products exited.
Focus on increasing gross margins through negotiated, targeted price increases where
possible with customers and continued identification of cost savings in raw material
inputs, distribution channels and logistics.
Investigation into the ability of infrastructure to deliver increased volumes to provide
greater scale in the covering of fixed input costs.
Continue to pursue strategic opportunities by way of acquisition to provide greater level
of economies of scale.
Subsequent to the end of the financial year, the Group have completed several transactions
that have materially strengthened the Group’s financial position and ongoing viability. These
are summarised below:
•
•
•
Conversion of debt to equity: $1.19m in loans were converted to equity;
Capital raising: On 29 August 2025, the Group successfully completed an oversubscribed
capital raising of approximately $1.76m though the issuance of new shares and options.
All participants entered a 12-month voluntary escrow.
Refinancing of lending arrangements: The Group has refinanced its lending facilities
which is structured in three parts:

(b) Going Concern (Continued)
1) Removal of market rate loan: This eliminates a $1.5m current loan and the
associated term deposit asset from the balance sheet.
2) Refinancing of better business loan: The $1.6m facility has been extended to
mature in 2027, reclassifying it from current to non-current liabilities.
3) Restructuring of equipment loans: The Group’s equipment finance loans will be
converted to interest-only repayments until 1 July 2026, also moving them from
current to non-current liabilities.
These initiatives result in $1.5m in current borrowings being extinguished and the
reclassification of a further $3.1m to non-current borrowings ($1.9m) and equity ($1.2m).
These initiatives provide additional liquidity and financial flexibility to support the Group’s
turnaround and growth initiatives.
The new financing arrangement includes a financial covenant which stipulates that the Group
will report quarterly results and any negative normalised EBITDA variance is to be no greater
than 10%. Should this covenant be breached for two consecutive quarters that the bank may
provide the borrower a 90-day notice stating that it will withdraw its support and request all
